Website Escrow Agreement

This Escrow Agreement ("Agreement") is made by and between the Seller, Buyer, and the Escrow Agent (the Escrow Agent being the platform or a third-party intermediary service). The Seller, Buyer, and Escrow Agent hereby agree to the following terms and assume their respective obligations and responsibilities:

1. Transaction Details: (Describe specific details of the website transaction, including website description, price, transfer terms, etc.)

2. Escrow Amount: (Specify the amount that the Escrow Agent is willing to provide as escrow, usually a certain percentage of the transaction amount.)

3. Escrow Conditions:

   • The Seller agrees to complete the website transfer procedures as agreed upon after the escrow is in effect.
   • The Buyer agrees to make timely payment of the transaction amount after the escrow is in effect.

4. Escrow in Effect: This Escrow Agreement shall come into effect when the Escrow Agent receives the escrow amount from the Buyer and confirms that both parties have reached a mutual agreement on the transaction.

5. Payment of Funds:

   • The Buyer shall pay the escrow amount to the Escrow Agent's designated account after the escrow is in effect.
   • The Escrow Agent will pay the escrow amount to the Seller after confirming that both parties have fulfilled the escrow conditions.

6. Escrow Refund:

   • In the event of a successful transaction completion and the Seller fulfilling the transfer obligation, the Escrow Agent shall refund the escrow amount to the Buyer.
   • In the event of a transaction cancellation or dispute, the Escrow Agent will decide whether to refund the escrow amount to the Buyer based on the factual situation.

7. Transaction Cancellation: Both parties agree that if the transaction is canceled, the Escrow Agent has the right to decide whether to pay the escrow amount to the Seller. The Buyer agrees to waive the escrow amount.

8. Dispute Resolution: In the event of a transaction dispute, both parties shall cooperate actively with the Escrow Agent in providing relevant evidence. The Escrow Agent will make a ruling based on objective and fair principles.

9. Agreement Amendment: Any changes or revisions to this Escrow Agreement shall require the written consent of the Seller, Buyer, and Escrow Agent.

10. Governing Law: This Escrow Agreement shall be governed by applicable laws. For any legal disputes related to this Agreement, the parties shall resolve them on their own and assume corresponding responsibilities.

Please note that this Escrow Agreement is intended to safeguard the interests of both parties and ensure the safety of transaction funds.
